BoardSuite is proud to announce the launch of the Emerging Directors Series, with the first seminar, “Risks & Issues Facing SME Directors“, at the Toronto Board of Trade in Toronto, Ontario on June 19, 2012.

The Emerging Directors Series provides free education on corporate governance knowledge targeted to directors and officers of small to medium-sized enterprises (SMEs). Each seminar features three distinguished speakers in a panel format, discussing the key issues facing corporate directors of SMEs.  These seminars will be completely free of charge to attendees, but will be limited to the first 100 registrants who RVSP.

Directors and Officers of SMEs face many issues that larger, more established corporations manage as routine. In the first Emerging Directors Series, “Risks & Issues Facing SME Directors”, we will hear from an esteemed panel including, Deborah Rosati, FCA, ICD.D, Sue Loomer, MAcc, CA, CBV and Andrew MacDougall, Partner (Osler, Hoskin & Harcourt LLP).

About the Panelists

Deborah Rosati, FCA, ICD.D is a Corporate Director focused on corporate governance and corporate strategy for emerging companies. Deborah has over 25 years in financial, operational and strategic management with senior roles in both public and private corporations, as well as a general partner with a national venture capital firm.  As a Corporate Director, she serves on the board of Sears Canada Inc. and is an advisor to Karma Athletics Ltd (Karma) and Boardsuite Inc.. Deborah was chair of the Board of the Canadian Internet Registration Authority (CIRA) and served on the Board of and Ontario Lottery Gaming Corporation (OLG) and Axis Investment Fund (acquired by BEST Funds).

Sue Loomer, MAcc, CA, CBV is a Managing Director of Campbell Valuation Partners Limited, Canada’s longest established independent business valuation firm.  She is a Chartered Business Valuator who provides assistance to boards of directors, management teams, business owners and the courts with respect to the valuation of businesses, shares and intangible assets. She has prepared valuation reports and expert reports for various purposes, including: fairness opinions, shareholder disputes, commercial litigation matters, income tax, financial reporting and M&A. Suzanne has qualified as an expert in the Ontario Superior Court, Federal Court of Canada and in mediations and arbitrations.

Andrew J. MacDougall is a partner at Osler, Hoskin & Harcourt LLP practicing corporate and securities law, with a focus on mergers and acquisitions and corporate governance.  He advises on all forms of public and private M&A transactions as well as various forms of commercial alliances including shareholder, partnership and joint venture agreements. He advises boards and in-house counsel on a broad spectrum of corporate governance issues, including directors’ duties, executive compensation, shareholder engagement and shareholder meeting matters. He has a long-standing interest in corporate governance matters and has written and spoken extensively on the topic.

  1. Thanks for the Directors breakfast. It was great to hear the speakers discuss issues that are relevant to all of us especially SMEs. As a member of the ICD and helping to start a chapter in the York region, we are trying to get this message out to a number of SMEs in the Markham, Richmond Hill and Newmarket area.
